These terms govern the use of Wapsell (the “Service”), provided by Fulvio Monfasani (“we”, “us”). By using the Service you agree to comply with these terms. If you don't agree, do not use Wapsell.
1. The Service
Wapsell is a platform of AI agents that answer WhatsApp messages on behalf of your business. The Service includes the conversational engine, the integration with the WhatsApp Business Platform, an admin dashboard, hosting, and support as scoped by the plan you signed up for.
2. Account registration
- To use the Service you must create an account providing accurate and up-to-date information.
- You are responsible for keeping your credentials confidential and for any activity that happens under your account.
- We may refuse to open or suspend an account if we detect fraudulent use, abuse, or breach of these terms.
3. Plans, payments, and billing
- Paid plans are billed in advance in the currency listed at signup.
- Subscriptions auto-renew at the end of each billing period unless canceled beforehand.
- You can cancel anytime from your account or by writing to us. Cancellation takes effect at the end of the paid period; no partial refunds.
- Prices may change with 30 days of prior notice. If you don't agree, you can cancel before the change takes effect.
4. Acceptable use
You may not:
- Use Wapsell for spam, illegal content, infringement of third-party rights, or any fraudulent activity.
- Send messages that violate the WhatsApp Business Policy or Meta Platforms' terms.
- Attempt unauthorized access to systems, other users' data, or non-public parts of the Service.
- Reverse-engineer, copy, or sublicense the Service without written permission.
Breach may result in immediate suspension without refund and any legal action we deem appropriate.
5. Intellectual property
The Service, the software, the design and the Wapsell brand are our property and are protected by Argentine and international law. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service while you have an active subscription.
Data you upload (catalogs, configuration, conversations with your customers) is yours. You grant us a limited license to process it exclusively to deliver the Service to you.
6. Privacy
Personal data processing is governed by our Privacy Policy, which is incorporated into these terms.
7. Warranties and limitation of liability
The Service is provided “as is”. We make reasonable efforts to keep it available and working correctly, but we do not guarantee 100% uptime, nor that AI-generated outputs will always be accurate or appropriate for every use case.
To the maximum extent permitted by law, we are not liable for indirect damages, lost profits, lost opportunity, or data loss. Our total liability for any claim will not exceed what you paid for the Service in the 12 months prior to the event giving rise to the claim.
8. Suspension and termination
We may suspend or terminate your account immediately if you breach these terms, fail to pay an overdue charge, or use the Service in a way that threatens its stability or legal compliance. Upon termination we will give you access to export your data for 30 calendar days unless a legal requirement prevents it.
9. Governing law and jurisdiction
These terms are governed by the laws of the Argentine Republic. Any dispute will be submitted to the ordinary courts of the City of Buenos Aires, waiving any other jurisdiction.
10. Changes
We may modify these terms at any time. The current version is always the one published on this page. For material changes we will notify you via email or WhatsApp at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new terms.
